Tutor Terms and Conditions

These Tutor Terms apply when you register for, or use, Studoo as a tutor, tutoring business or tuition centre. Please read them carefully. By creating a tutor account, or by clicking to accept these terms, you agree to them on behalf of yourself and any business you represent.
1. About these terms
1.1 Studoo is operated by Frsh Labs Ltd, a company registered in England and Wales under company number 16882724, whose registered office is at 128, City Road, London, EC1V 2NX, United Kingdom ("Studoo", "we", "us", "our").
1.2 "You" means the individual or organisation that registers the tutor account. If you register on behalf of a business or centre, you confirm that you have authority to bind it to these terms.
1.3 Tutor accounts are for business use. You must be at least 18 years old to register as a tutor. Because you use Studoo in the course of your business, consumer protection rules that apply to families (such as the 14-day statutory cancellation right) do not apply to tutor accounts.
1.4 These Tutor Terms sit alongside our Terms of Service, Privacy Policy and Cookie Policy. If there is a conflict between these Tutor Terms and the Terms of Service in relation to your tutor account, these Tutor Terms take priority.
2. Key definitions
- Plan means the tutor plan you are on: Starter, Pro or Centre.
- Student means a child you invite or enrol into your Studoo cohorts or classrooms.
- Student seat means one student actively enrolled in your account at any time.
- Tutor login means a user account for a tutor who works within your account.
- Account owner means the person who registered the account and manages billing.
- Studoo Content means the questions, explanations, templates, graphics, software and other material we provide.
- Your Content means questions, materials, feedback, marks and other content you or your tutors create or upload.
3. Your account
3.1 You must provide accurate registration details and keep them up to date.
3.2 You are responsible for keeping login details secure and for all activity under your account, including activity by your tutor logins. Each tutor login is for one named person only and must not be shared.
3.3 On the Centre plan, the account owner may add, manage and remove tutor logins. The account owner is responsible for ensuring every tutor they add complies with these terms.
3.4 Please tell us promptly at support@studoo.co.uk if you believe your account has been accessed without permission.
4. Plans, seats and limits
4.1 We currently offer three tutor plans:
- Starter: free of charge, with the features and usage limits shown on our pricing page, including a limited number of student seats, a sample of the Studoo question bank and limited analytics.
- Pro: a paid monthly or annual plan with the full Studoo question bank, assignments and auto-marking, paper tests, analytics and behavioural insight, and your own question bank.
- Centre: a paid monthly or annual plan with everything in Pro, plus centre branding, team management and multiple tutor logins.
4.2 The features, prices, included student seats, included tutor logins and prices for extra seats and logins for each plan are shown on our pricing page at the time you subscribe. The pricing page forms part of these terms.
4.3 Student seats are counted by the number of students actively enrolled in your account. If you reach your seat limit, you will need to archive a student, buy extra seats (where your plan allows it) or upgrade before you can enrol more students.
4.4 Studoo currently offers Maths as its live practice subject. Other subjects shown as "coming soon" are not part of any plan until we release them, and we do not guarantee release dates.
5. Fees, billing and renewal
5.1 Starter is free. Pro and Centre are paid in advance, monthly or annually, by card through our payment provider, Stripe. Extra student seats and tutor logins are charged at the rates shown on the pricing page and billed with your plan.
5.2 Prices are in pounds sterling (£). If VAT applies, it is added at checkout and shown before you pay.
5.3 Paid plans renew automatically at the end of each billing period unless you cancel before the renewal date. For annual plans, we will email you a reminder before renewal.
5.4 If a payment fails, we will try to take it again and let you know. If payment is still outstanding 14 days after the due date, we may move your account to the Starter plan or suspend paid features until payment is made.
5.5 We may change our prices. We will give you at least 30 days' notice by email before a price change affects you, and it will take effect from your next renewal date. If you do not agree, you may cancel before the change takes effect.
5.6 From time to time we may offer promotional or founding-member pricing. Any such offer will be subject to the conditions stated when it is made, including how long the price applies.
6. Upgrading, downgrading and cancelling
6.1 Upgrading. If you upgrade, the new plan starts immediately and we will charge a pro-rated amount for the rest of your current billing period.
6.2 Downgrading. Downgrades take effect at the end of your current billing period. If you then have more students than your new plan allows, students above the limit will be moved to an archived, read-only state until you reduce your student numbers or upgrade again. Features not included in your new plan (for example, your own question bank) will become inaccessible, but we will keep that content for 90 days in case you upgrade again.
6.3 Cancelling. You can cancel a paid plan at any time in your account settings. You will keep access until the end of the period you have paid for, after which your account will move to the Starter plan. We do not refund partial billing periods, except where required by law or where we decide otherwise at our discretion.
6.4 Closing your account. You can close your account at any time, including a Starter account, by contacting us or through your account settings. Section 16 explains what happens to your data.
7. Changes to the Starter plan
7.1 We offer the Starter plan free of charge and may change its features or limits. We will give you at least 30 days' notice of any change that materially reduces what you can do on Starter.
7.2 We may withdraw the Starter plan entirely. If we do, we will give you at least 60 days' notice and you will be able to export your data or move to a paid plan.
8. Students, parents and consent
8.1 You are responsible for deciding which students to enrol and for the information you enter about them.
8.2 Before you enrol a student, you must make sure that you have told the student's parent or guardian that you use Studoo and that you have a lawful basis under data protection law to share the student's information with us. For children under 13, the parent or guardian must agree to their child using Studoo. You must be able to show evidence of this if we reasonably ask.
8.3 Only enter the information about students that is needed to use Studoo. Do not enter special category data (for example, health or medical information) or details of safeguarding concerns into Studoo.
8.4 Parents and guardians of your students may access the parent and student portal. The portal shows Studoo branding and may include information about Studoo's own family subscription. If a parent chooses to take out a Studoo family subscription, that is a separate agreement between Studoo and the parent, and it does not affect your agreement with them.
9. Safeguarding and professional conduct
9.1 You are solely responsible for your tutoring services, including their quality, your pricing, your agreements with families, and your compliance with safeguarding law and good practice.
9.2 Studoo does not recruit, vet, employ or supervise tutors, and does not carry out DBS or other background checks. You are responsible for holding any checks, insurance or qualifications required for your work, and, on the Centre plan, for ensuring that every tutor you add is suitably checked.
9.3 All communication with students through Studoo, including classroom feedback, must be professional and appropriate for children.
9.4 If we become aware of a safeguarding concern relating to a tutor account, we may suspend the account immediately and may share information with the relevant authorities where we are required or permitted to do so by law.
10. Data protection
10.1 For personal data about your students and their parents that you enter into Studoo or that is generated when your students use Studoo through your account ("Tutor Data"), you are the data controller and we act as your data processor. The Data Processing Terms in the Schedule to these Tutor Terms apply to that processing.
10.2 We are the data controller for:
- data about you and your tutor logins that we use to run your account, bill you and communicate with you;
- data about parents or students who have their own Studoo family account; and
- de-identified and aggregated data derived from use of Studoo, which we use to maintain, secure and improve the platform, including the question bank and analytics. This data does not identify any individual student.
10.3 Our Privacy Policy explains how we handle personal data as a controller.
11. Studoo Content
11.1 Studoo Content belongs to us or our licensors. While your plan is active, we give you a non-exclusive, non-transferable licence to use the Studoo Content included in your plan to teach and assess students enrolled in your account.
11.2 Where your plan includes paper tests, you may print or download them for use only with students enrolled in your account.
11.3 You must not copy, export, scrape, republish, sell or share Studoo Content outside Studoo, use it to create competing question banks or products, or use it to train AI models.
12. Your Content
12.1 You keep ownership of Your Content. You grant us a non-exclusive licence to host, store, copy, process and display Your Content only as needed to provide Studoo to you and your students.
12.2 You confirm that you own Your Content or have permission to use it in Studoo. In particular, you must not upload material protected by copyright, such as exam board or publisher past papers, practice papers or workbooks, unless you hold a licence that allows it.
12.3 We may remove any of Your Content that we reasonably believe breaches these terms or infringes someone else's rights.
13. Analytics, behavioural insight and AI guidance
13.1 Studoo analytics, behavioural insights and AI-generated action plans are intended to support your professional judgement. They are guidance, not a professional diagnosis or assessment of a child's ability or needs.
13.2 We do not guarantee any exam result, school place or improvement in performance.
14. Acceptable use
You must not, and must ensure your tutor logins do not:
- use Studoo for any unlawful, harmful or fraudulent purpose;
- share logins, or give students or parents access to tutor features;
- attempt to access other accounts, or our systems, without permission;
- interfere with or overload the service, or use bots or scrapers;
- upload viruses or malicious code; or
- misrepresent your identity, qualifications or affiliation with Studoo.
15. Availability and support
15.1 We will use reasonable efforts to keep Studoo available, but we do not guarantee uninterrupted or error-free service. We may need to carry out maintenance and will try to schedule it at quiet times.
15.2 Support is available by email at support@studoo.co.uk. We aim to reply within 2 working days. Starter accounts are supported on a best-efforts basis.
15.3 We may change or improve features over time. If we remove a core feature of a paid plan, we will tell you in advance, and you may cancel and receive a pro-rated refund for any unused prepaid period.
16. Suspension, termination and your data
16.1 We may suspend or close your account if you seriously or repeatedly breach these terms, fail to pay, or if we reasonably need to in order to protect students, other users or Studoo. Where reasonable, we will give you notice and a chance to put things right first.
16.2 When your account closes, you will have 30 days to export your data (including Your Content and student results). After that, we will delete Tutor Data in accordance with the Data Processing Terms, except for any data we must keep by law (for example, billing records).
16.3 Sections 10, 11.3, 12, 17, 18 and 20 continue after your account closes.
17. Liability
17.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
17.2 Subject to 17.1, we are not liable for any loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss.
17.3 Subject to 17.1, our total liability to you in any 12-month period arising out of or in connection with these terms is limited to the greater of (a) the fees you paid us in that 12-month period and (b) £100.
18. Your responsibility to us
You agree to compensate us for reasonable losses and costs we incur as a result of a claim by a third party arising from Your Content, or from your breach of section 8 (students, parents and consent) or section 9 (safeguarding and professional conduct).
19. Changes to these terms
We may update these Tutor Terms. We will give you at least 30 days' notice of material changes by email or in your account. If you do not agree, you may cancel before the changes take effect. If you continue to use Studoo after that, the updated terms will apply.
20. General
20.1 These Tutor Terms, together with the documents referred to in them, are the whole agreement between you and us about your tutor account.
20.2 You may not transfer your account or these terms to anyone else without our written consent. We may transfer our rights and obligations to another organisation, for example if our business is sold, and we will tell you if we do.
20.3 If any part of these terms is found to be unenforceable, the rest will continue to apply.
20.4 No one other than you and us has any right to enforce these terms.
20.5 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Schedule: Data Processing Terms
These Data Processing Terms apply where Studoo processes Tutor Data on your behalf, as required by Article 28 of the UK GDPR.
1. Details of the processing
- Subject matter and purpose: providing the Studoo tutor platform to you, including classrooms, assignments, marking, analytics, behavioural insight and the parent and student portal.
- Duration: for as long as you have a Studoo tutor account, plus the export and deletion periods in section 16 of the Tutor Terms.
- Nature of processing: collection, storage, organisation, analysis, display, transmission and deletion.
- Categories of data subjects: your students, their parents or guardians, and your tutors.
- Types of personal data: names or display names, email addresses, year group, cohort and class membership, attendance, feedback, marks, practice and assignment activity (including answers, timing, confidence ratings and answer changes) and derived progress and behavioural insights.
- Special category data: none intended. You must not enter special category data (see section 8.3 of the Tutor Terms).
2. Our obligations
We will:
a) process Tutor Data only on your documented instructions, which are these Tutor Terms and your use of Studoo's features, unless the law requires otherwise (in which case we will tell you, unless the law prevents it);
b) ensure that anyone authorised to process Tutor Data is bound by confidentiality;
c) implement appropriate technical and organisational security measures, including encryption in transit and at rest, access controls and secure authentication;
d) only use the sub-processors listed in our Privacy Policy, and give you at least 30 days' notice of any new sub-processor. If you reasonably object on data protection grounds, you may close your account and receive a pro-rated refund of any unused prepaid fees;
e) ensure our sub-processors are bound by data protection obligations equivalent to these;
f) only transfer Tutor Data outside the UK where appropriate safeguards are in place, such as UK adequacy regulations or the UK International Data Transfer Addendum;
g) help you, taking into account the nature of the processing, to respond to requests from individuals exercising their data protection rights, and to meet your obligations on security, breach notification and data protection impact assessments;
h) notify you without undue delay, and in any event within 48 hours, after becoming aware of a personal data breach affecting Tutor Data, and give you the information you reasonably need;
i) at the end of the export period in section 16 of the Tutor Terms, delete Tutor Data (including from backups within 90 days), unless the law requires us to keep it; and
j) make available the information reasonably needed to show that we comply with this Schedule, and respond to reasonable written questions from you about our processing.
3. Your obligations
You confirm that you have a lawful basis for sharing Tutor Data with us, that you have given students and their parents or guardians the information required by data protection law, and that your instructions to us comply with data protection law.
